These Terms and Conditions ("Terms") govern the use of facility maintenance and repair dispatch services (the "Services") provided by Opus Facility Management — Chicago, IL LLC, an Illinois limited liability company ("Opus," "Company," "we," "us," or "our"). By submitting a work order, signing a service agreement, or otherwise engaging Opus, the party requesting Services ("Client") agrees to be bound by these Terms.

1. Acceptance of Terms

By engaging Opus to fulfill any work order, dispatch request, or maintenance/repair assignment, the Client agrees to these Terms in full. These Terms apply to all Clients, including home warranty and insurance companies, commercial multi-site facility platforms, property managers, and any other party issuing work orders through Opus.

16. Governing Law and Dispute Resolution

16.1. These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

16.2. Any dispute arising under these Terms shall first be addressed through good-faith negotiation, and if unresolved, may be brought exclusively in the state or federal courts located in Cook County, Illinois.

17. Modifications

Opus may update these Terms from time to time. Continued use of the Services after an update constitutes acceptance of the revised Terms. Material changes will be communicated to active Clients.

18. Miscellaneous

18.1. Entire Agreement — These Terms, together with any signed master service agreement or Work Order, constitute the entire agreement between the parties regarding the Services.

18.2. Severability — If any provision is found unenforceable, the remaining provisions remain in full effect.
